1. OVERVIEW

Nurds, Inc. operates in the home services technology sector, providing CRM (Customer Relationship Management) and communication tools to businesses in the roofing, contracting, appraisal, and related industries. Our leadership maintains business interests and positions with several companies that operate in or serve the home services space.

This disclosure is provided to ensure transparency regarding these relationships and to inform our customers, partners, and stakeholders of any potential conflicts of interest and how we manage them.

2. RELATED ENTITIES

Nurds, Inc. has business relationships with the following entities through shared leadership, ownership interests, and/or commercial arrangements:

AlphaOne Exteriors

• Industry: Roofing and Exterior Contracting Services
• Relationship: Nurds' Chief Technology Officer serves as CTO and board member. AlphaOne Exteriors holds ownership shares in Nurds, Inc. and maintains board representation.
• Services Provided: Nurds provides CRM and communication tools to AlphaOne Exteriors

Craftlink

• Industry: Home Services and Contracting
• Relationship: Nurds' Chief Technology Officer serves as CTO and board member. Craftlink holds ownership shares in Nurds, Inc. and maintains board representation.

Queens Park Ward

3. OWNERSHIP STRUCTURE

Leadership Overlap: Our Chief Technology Officer holds the position of CTO and serves on the board of directors for each of the entities listed above. This shared leadership structure is designed to ensure technological alignment, operational efficiency, and strategic coordination across the related entities.

Equity Interests: AlphaOne Exteriors and Craftlink hold equity ownership in Nurds, Inc. and maintain board representation, creating a reciprocal ownership structure between these entities and Nurds.

Independence: Despite the shared leadership and ownership relationships described above, each entity is a separate legal entity with its own operations, finances, management responsibilities, and corporate governance. Nothing in this disclosure is intended to disregard those separate legal identities.

Controlling Ownership: Christopher King beneficially owns 75% of the outstanding equity interests in Nurds, Inc. and controls 75% of its shareholder voting power. As a result, Mr. King is the controlling shareholder and may generally approve or block matters submitted to a shareholder vote, subject to applicable law, Nurds' governing documents, board authority, fiduciary duties, and the rights of other shareholders.

4. BUSINESS RELATIONSHIPS

Service Provider Relationship: Nurds, Inc. provides CRM and communication technology solutions to each of the entities listed above. These are standard commercial relationships where Nurds provides software-as-a-service (SaaS) and related technology services.

Nature of Services: The services provided include but are not limited to:

• Customer relationship management (CRM) software
• Communication platforms (SMS, email, voice)
• Workflow automation tools
• Data management and reporting systems
• Integration services with third-party platforms

No Service Dependency: The related entities do not provide services to Nurds, Inc. These are unidirectional commercial relationships where Nurds is the service provider.

5. FINANCIAL ARRANGEMENTS

Due to the ownership relationships and shared leadership described above, certain financial arrangements exist between Nurds, Inc. and the related entities:

Preferential Pricing: Nurds offers discounted pricing on CRM and communication services to the related entities listed in this disclosure. These discounts reflect the strategic partnership relationships and shared ownership structures.

Cross-Billing Arrangements: Financial transactions between Nurds and related entities may include cross-billing arrangements for shared resources, technology infrastructure, or administrative services.

Referral Fees: Referral fee arrangements may exist between Nurds and the related entities for business development activities, customer introductions, or partnership opportunities.

Profit Sharing: Profit-sharing or revenue-sharing arrangements may exist between Nurds and certain related entities, reflecting the ownership structures and strategic partnership agreements.

Arm's Length Transactions: While financial arrangements reflect the strategic relationships described above, all transactions are conducted professionally and documented appropriately.

6. CONFLICT OF INTEREST MANAGEMENT

Nurds, Inc. recognizes that the relationships disclosed herein create potential conflicts of interest. We manage these potential conflicts through the following practices:

Disclosure and Transparency: We maintain this public disclosure statement to inform all stakeholders of these relationships and update it as material changes occur.

Independent Operations: Each entity maintains independent operations, separate management teams (aside from the shared CTO/board position), and autonomous decision-making processes.

Service Quality Standards: Nurds provides the same quality of service, support, and technological capabilities to all customers, regardless of ownership or leadership relationships.

Board Oversight: Corporate governance structures, including board oversight at each entity, provide accountability and oversight of management decisions.

Fair Competition: Related entities compete in the marketplace independently and do not receive preferential treatment in business development, market opportunities, or customer referrals beyond the disclosed financial arrangements.

Customer Choice: Nurds customers are not obligated to work with any of the related entities, and related entities are not obligated to exclusively use Nurds services (although they currently do).

7. DATA PRACTICES

Data Separation: Customer data maintained in Nurds' CRM and communication systems is kept separate between different customer accounts, including accounts of related entities.

No Cross-Entity Data Sharing: Nurds does not share customer data between the related entities listed in this disclosure. Each entity has access only to its own data within the Nurds platform.

Privacy Compliance: All data handling practices comply with our Privacy Policy and applicable data protection laws.

Data Security: The same security standards, access controls, and data protection measures apply to all customer accounts, regardless of ownership or leadership relationships.

Multi-Tenant Architecture: Nurds employs a secure multi-tenant architecture that ensures logical separation of customer data, preventing unauthorized cross-account access.
